The procedure for the internal management and external disclosure of material information and/or inside information is intended to regulate, with binding effect:

a) the obligations that Directors, Statutory Auditors, managers and employees, each within the scope of their competence, as well as the Company’s consultants, must comply with in relation to the management of inside information concerning the Company;

b) the disclosure obligations that the Company is required to comply with vis-à-vis the market.

The internal operating procedure was drawn up in execution of the “Procedure for the Internal Management and External Disclosure of Material Information and/or Inside Information and for Keeping the Insider Register” (hereinafter the “MAR Procedure”).

The Operating Procedure defines the roles, responsibilities, principles of conduct and operating procedures with which the Company and its Subsidiaries, direct or indirect, and, therefore, belonging to the Iren S.p.A. Group, as well as the subjects referable to them, must comply in order to guarantee the correct management and external disclosure of inside information.
